The content of this website is provided for general information about our services. It does not constitute an offer, a quotation, or professional advice, and it does not create a contractual relationship. Descriptions of scope, timing and support are indicative; what binds either party is the signed agreement for a specific engagement.

We take care that the information here is accurate and current, but we do not warrant that it is free of error or omission, and we may change it without notice.

Standard commercial terms

The following terms are the defaults we propose. Each engagement is governed by its own signed agreement, and anything different is negotiated in writing before work starts.

• Scope and price. Fixed price against a written scope. Changes to scope are quoted and signed before they are built.
• Licence. Subject to full payment, a non-exclusive, non-transferable, worldwide licence to install, access and use the software for the client’s internal business operations, for a term of one year, renewable by written agreement. The licence does not include the right to sublicense, white-label or resell the software unless separately agreed in writing.
• Delivery. Delivery of the software, installation access and documentation within the schedule set out in the specification, typically within ninety days of the effective date.
• Support and maintenance. Standard support and maintenance are included in the price for the licence term, covering bug fixes, technical assistance and reasonable updates. Service levels are set out in the specification.
• Intellectual property. We retain all intellectual property rights in our underlying platform, source code, algorithms and models, except as expressly licensed. Anything identified as the client’s property in the agreement remains the client’s.
• Confidentiality. Mutual. Neither party discloses the other’s non-public information to third parties without prior written consent, except where required by law.
• Liability. Neither party is liable for indirect, incidental or consequential damages. Aggregate liability is capped at the total price paid under the agreement.
• Termination. Either party may terminate for material breach not remedied within thirty days of written notice.
• Governing law. The governing law and jurisdiction for each engagement are stated in the signed agreement for that engagement.
